BY-LAWS

ARTICLE I
Application for membership, accompanied by the initiation fee and one year's dues and sponsored by a member in good standing, must be given to the secretary and voted upon at the next regular meeting. Two negative votes shall be sufficient to reject an application.


ARTICLE I

MEETINGS
Section 1: Three annual meetings shall be held, one in January, one in early summer and one in October. The dates may be changed by a majority vote the membership at any regular meeting..
Section 2: The Annual Meeting for the election of officers and delegates shall be held at the regular early summer meeting.
Section 3: Special meetings may be called at any time by the President and shall be called at the written request of three or more members.
Section 4: Three members present, other than officers, and two officers, shall constitute a quorum for the transaction of business.
Section 5: Members shall be notified of meetings by phone or e-mail, (at least 2 weeks prior to the meeting).


ARTICLE III

ELECTIONS
Section 1: The officers and Directors shall be elected at the early Summer meeting by ballot, and shall serve for one year or until their successors shall have qualified. Elected Officers shall take office at the next regularly scheduled meeting following the election
Section 2: A vacancy occurring in any office shall be filled by the Board of Directors for the balance of the un-expired term. The Board of Directors shall be required to meet prior to the regular meeting. The President shall call this board meeting. Two Directors and two officers shall constitute a quorum for this express purpose.


ARTICLE IV

OFFICERS
Section 1: The President shall be the chief executive officer, shall preside at all meetings, and perform all duties consistent with the office. The President shall be a member Ex Officio of all committees, and shall appoint such special committees as deemed necessary.
Section 2: The Vice President shall perform the duties of President in his absence and shall serve as membership and program chairman.
Section 3: The Secretary shall be the recording and corresponding officer, shall keep a record of all meetings, shall keep a roll of membership, and mail bills or email when possible, for dues.
Section 4: The Treasurer shall have custody of all monies of the club, shall open a bank account in the name of the club and shall keep book accounts of receipts and expenditures, shall report at the regular monthly meetings and at the Annual meeting. The Treasurer of the club may sign on the accounts with any of the following officers: President, Vice President or Secretary. Two signatures shall be required on any withdrawal instrument.


ARTICLE V

DISCIPLINE
The Board of Directors shall have power, by a two-thirds vote, to reprimand, suspend, or expel from membership any person who, after a fair hearing of both accuser and accused, shall be found guilty of violating a rule of the club, or of a fraudulent, dishonest act, or of conduct detrimental to the interests of the club or the fancy at large. Charges against any person must be made in writing and sent to the Board of Directors.


ARTICLE VI

AMENDMENTS
These By-Laws may be amended as provided in the Constitution


ARTICLE VII

REQUIREMENTS TO HOLD OFFICE
The Officers of the club, namely President, Vice President, Secretary and Treasurer (as well as those on the Board of Directors) may be held by any member of the club in good standing with the following stipulations:
· Member must present favorable appearance in the community in order to maintain the best interest of the club and the fancy at large and be in good standing with CFA.
· The offices of President and Secretary of Cowboy Country Cat Fanciers can not be held by members residing in the same household or family.
· No members of the same household or family holding the position of President or Secretary, simultaneously, in another club can hold the office of President or Secretary in Cowboy Country Cat Fanciers.


ARTICLE VIII

DISSOLUTION:
Club members, if so desired by majority vote, can vote to disband the club. All assets or moneys gained by sale of assets and any treasury shall be donated to the CFA Winn Foundation.


ARTICLE IX

REQUIREMENTS FOR CONTINUING MEMBERSHIP:
All paid up members of CCCF must attend at least one meeting per year. All members of CCCF must assist in the production of the CCCF show (when held) with at least three hours work time. Such hours may be spent in setup or teardown, transporting judges, clerking, working the door or any other official capacity listed in the show catalog.
